MOCAP LIKE A PRO VIDEO CONTEST

GENERAL RULES

You must submit a 1-2 minute smart, fun, or just informative video pitching your project and showing or telling us how you will use Perception Neuron’s motion capture system in an innovative, unique or creative way. The more creative, the better!

PERCEPTION NEURON MOCAP LIKE A PRO video contest is open to any of the following fields: education, arts, entertainment, science, sports and health.

Contest is open to participants worldwide (see section 1 for eligible countries) who are 18 years old or over except where prohibited. Voting is limited to one vote per person per entry. Videos will be submitted via upload form on mocaplikeapro.com. Selected videos will also be uploaded to the Noitom YouTube page (Noitomocap) at the discretion of Noitom International, Inc.

Winners are expected to complete their project within 12 months and MUST submit bi-monthly project updates to NOITOM during the production process. Winners will be given instructions on submitting their project updates at the conclusion of the contest.

OFFICIAL RULES

1. Eligibility

Perception Neuron Mocap Like A Pro video contest (the “Contest”), sponsored by Noitom International Inc. (“Sponsor”), is open to contestants worldwide (except where prohibited by law) who are 18 years of age or older as of the time of entry. Employees of Sponsor, Sponsor’s advertising and promotion agencies and each of Sponsor’s and such agencies’ respective parent companies, subsidiaries and affiliates (all of the foregoing, the “Contest Parties”), and such employees’ immediate family and household members, are not eligible. “Immediate family members” shall mean parents, stepparents, children, stepchildren, grandchildren, step-grandchildren, siblings, step-siblings, or spouses, regardless of where they live. “Household members” shall mean people who share the same residence at least three (3) non-consecutive months a year, whether related or not.In the event of a dispute regarding any entry, the entry will be deemed made by the authorized account holder of the e-mail address submitted at the time of entry (i.e., the natural person who is assigned to an e-mail address by an Internet access provider, online service provider or other organization responsible for assigning email addresses for the domain associated with the submitted e-mail address). The Contest is open only to individual entrants, who must comply with all requirements set forth in the Official Rules. This Contest is void where prohibited by law. 2. Technical and Content Guidelines

Each Video must comply with the following guidelines:a. the Video must be between 1-2 minutes in duration b. each entrant must produce his or her Video in the highest technical quality reasonably possible for the entrant;c. the Video must comply with required technical specifications: video must be in one of the following formats: MPEG (.mpg), QuickTime (.mov), AVI (.avi), Windows Media (.wmv). Videos must be 16 x 9, h.264 MP4 and no larger than 1GB in size;d. any text or spoken dialogue in the Video must be principally in the English language; e. the Video (including the copyright in the Video) must be owned solely by the entrant; f. the Video must not have been exhibited publicly (including, without limitation, on YouTube, Facebook, Vimeo or any other website or social media outlet) prior to entry in the Contest or it will be considered void and excluded from entry; g. if any component of the video (including without limitation any footage, artwork, music or photograph) is owned by someone other than the entrant, the entrant must obtain in writing a license or permission to include such component in the Video and for the use of the Video by the Sponsor Parties as permitted hereunder (for clarity, no additional licensing is required in order for entrants to use creative materials provided by Sponsor for the purpose of use in creating a Video solely for Contest entry purposes); h. the Video must not contain any material that violates or infringes upon the rights of any third party, including without limitation copyrights, trademarks or rights of privacy or publicity, or that is defamatory, threatening, indecent, obscene or offensive, or that is unlawful, in violation of or contrary to any applicable laws or regulations, or whose use by the Sponsor Parties requires a license or permission from any third party; i. the Video must not contain profanity or depict extreme violence, sexually explicit conduct or the use of illegal drugs; j. the Video must not utilize live animals unless the entrant has obtained the consent of the animal's owner and an affidavit from the animal owner or wrangler that the animal was not harmed in the making of the Video. Entrants are encouraged to contact the local Humane Society prior to production of the Video to verify appropriate animal safeguards; and k. the Video must not contain any material that Sponsor, in its sole discretion, deems inappropriate for public viewing.

3. Limitations on Use of Videos

By submitting a Video, the submitting entrant agrees to comply with the following restrictions with respect to his or her Video:

a. All Entrants:

Each entrant must not, until after May 31st, 2019, (i) authorize or permit the use of the Video or any component or adaptation thereof in connection with the advertising, marketing or promotion of any brand of motion capture or virtual reality equipment other than that of Noitom International, Inc. or (ii) make any arrangement for the distribution or public exhibition of the Video that would involve any payment to the entrant. In addition, each entrant that is selected as a Finalist or as a winner also must comply with the restrictions described in Sections 3(b) and 3(c).

b. Finalists:

Each Finalist must not, until after May 31st, 2021, (i) authorize or permit the use of the Video or any component or adaptation thereof in connection with the advertising, marketing or promotion of any brand of motion capture or virtual reality equipment other than that of Noitom International, Inc. or (ii) make any arrangement for the distribution or public exhibition of the Video that would involve any payment to the entrant.

c. Grand Prize and Special Prize Winners:

The winners must not, until after May 31st, 2021, (i) authorize or permit the use of the Video or any component or adaptation thereof in connection with the advertising, marketing or promotion of any brand of motion capture equipment other than that of Noitom International, Inc. or (ii) make any arrangement for the distribution or public exhibition of the Video that would involve any payment to the winner. Sponsor will have the right in its discretion to take such action as it deems appropriate with respect to any violation of the foregoing restrictions, which may include disqualification. For clarity, the Official Rules do not prohibit an entrant from sharing his or her Video via social media outlets after the Video has been entered in the Contest as long as the entrant complies with the restrictions contained in Sections 6(a)-(c), as applicable.

4. Grand Prize and Special Prize Notification

One (1) Grand Prize Winner, One (1) Grand Prize Runner Up WInner, One (1) Judge’s Favorite, One (1) People’s Choice Award, and One (1) Special Recognition Award will be selected by Judges designated by Sponsor (the “Judges”) from among all Videos submitted in accordance with these Official Rules during the entry period. Each entrant may only be a Finalist as to one (1) video. Winners will be announced July 15, 2019.

6. Grant of Rights

Each entrant retains ownership of the copyright in his or her Video, subject to the grants of rights contained herein. By entering the Contest, each entrant irrevocably grants the Sponsor the right, during the Entry Period and thereafter, throughout the world, in perpetuity (a) to exhibit, display and distribute the entrant’s Video and the entrant’s name, likeness, voice and/or biographical information in all media and formats whether now or later known or developed, including without limitation at the Website and other websites and/or social media platforms and making the Video available for public viewing and comment, (b) to incorporate the entrant’s Video and/or the entrant’s name, likeness, voice and/or biographical information in advertising, marketing and promotional materials for the Contest, and Sponsor, in all media and formats whether now or later known or developed and (c) to excerpt, edit, adapt, reproduce and create derivative works based on the Video in connection with any or all of the foregoing.

7. Release and Assumption of Risk

By entering, each entrant, on behalf of the entrant and his or her heirs, executors, guardians, assigns, agents and representatives, releases each of the Sponsor Parties, each of their respective parent companies, subsidiaries, affiliates and successors, and the directors, officers, employees and assigns of each of the foregoing, and all people and entities involved in the development or execution of the Contest, exhibition or distribution of the Video, from and agrees not to assert any and all claims, actions, suits, proceedings and demands arising out of or relating to the conduct of or the entrant’s participation in the Contest, the acceptance or use of the prize, the use of any Video by any of the Sponsor Parties or anyone authorized by any of the Sponsor Parties or any other exercise by any of the Sponsor Parties of the rights granted herein, and all liabilities, losses, injuries and/or damages arising out of relating to the same. The foregoing includes, without limitation, any claims, actions, suits, proceedings or demands based upon or alleging any invasion of privacy, violation of right of publicity or infringement of any intellectual property or other personal or proprietary rights, or any personal injury or death to an entrant or any other person or any damage to or loss of personal or real property, due in whole or in part, directly or indirectly, by reason of the acceptance, possession, use or misuse of the prize and any activity or travel related thereto or participation in this Contest. Entrants assume all liability for and risk of any injury or damage caused, or claimed to be caused, by participation in this Contest, travel to or participation in any prize-related activity or use of any component of the prize. Sponsor is not responsible for the content and may unpublish any video without warning.

8. Voting Contests

By participating in the voting portion of any contest, each voting participant agrees to be bound by the official contest rules. Voting is limited to one vote per verified email address. If an entrant receives multiple and/or irregular votes or multiple votes from the same user or users, including but not limited to, votes generated by a robotic, programmed, script, macro, other automated means or other source, Noitom International, Inc. reserves the right to disqualify the entrant in its sole discretion. If the contest includes the use of an internet tool and the internet voting process fails to operate properly or appears to be tampered with or tainted with errors, fraud or unfair practices, Noitom International, Inc. reserves the right to determine the winner(s), i.e. selection by a panel of Sponsor judges. All decisions of the judges are final.

9. Publicity; Use of Creative Content

By participating, where allowed by law, all participants and winner(s) grant Noitom International, Inc. exclusive permission to use their names, characters, photographs, voices, videos, and likenesses in connection with promotion of this and other contests and waive any claims to royalty, right, or remuneration for such use. By participating in the contest, where allowed by law, participants agree that Noitom International, Inc. may perpetually use any created content submitted by entrant to the contest for use in marketing, publicity, advertising, promotion, consumer education, and other purposes determined soley at the discretion of Noitom International, Inc.

10. Prize Upgrades

Noitom International Inc. reserves the right to upgrade hardware prizes to newer products when necessary.

11. Privacy

Information collected by Sponsor from entrants in connection with the Contest will be used and collected in accordance with Sponsor’s Online Privacy Statement (available at https://neuronmocap.com/content/privacy-policy.)

12. List of Winners
